NVIDIA acquired Poolside for $12 billion in a reverse transaction. The founder’s team received $1 billion in retained shares, and employees were compensated $6 billion. This transaction is considered the first “reverse execution” – where executives leave their positions, and employees and investors receive substantial rewards to continue operating or pivot to new directions. Poolside failed to raise $2 billion by the end of last year to support the launch of 40,000 GB300 clusters, resulting in the suspension of those projects. However, the founders believe that future models require computing power far exceeding this scale. Meanwhile, PIC Infraco, established in January 2026, is working to expand its scale to 7GW neocloud. Both parties emphasized that this is not a traditional acquisition or acquihire, but rather a continuation of their original mission or a major transformation.
